Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Icarus, Inc., a Washington S-corporation ("Icarus," "we," "us," or "our"), governing your access to and use of the website located at icarus.io (the "Site") and any related services, features, or content offered by Icarus.

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site. We recommend that you print or save a copy of these Terms for your records.

These Terms apply to all visitors, users, and others who access the Site. Additional terms may apply to specific services, such as merchandise purchases, and will be presented to you at the time of such transactions.

Company Information

Eligibility

The Site is intended for users who are at least 16 years of age. By using the Site, you represent and warrant that you are at least 16 years old and have the legal capacity to enter into these Terms.

If you are using the Site on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" will refer to both you individually and that entity.

Description of Services

Icarus, Inc. is a technology consulting company specializing in AI solutions, cloud infrastructure, site reliability engineering (SRE), custom software development, and related technology services. The Site serves as our primary marketing and informational platform.

Through the Site, you may:

• View information about our services, portfolio, and team
• Submit inquiries through our contact form
• Purchase branded merchandise through our integrated store
• Access resources and content we make available

The Site does not require user account registration. Consulting services and project engagements are governed by separate agreements executed between Icarus and the client.

Intellectual Property Rights

Our Intellectual Property

The Site and its entire contents, features, and functionality (including but not limited to all text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and the design, selection, and arrangement thereof) are owned by Icarus, Inc., its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The Icarus name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Icarus, Inc. You may not use such marks without our prior written permission.

Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site for your personal, non-commercial informational purposes. This license does not include:

• Any resale or commercial use of the Site or its contents
• Any collection or use of any product listings, descriptions, or prices
• Any derivative use of the Site or its contents
• Any downloading, copying, or other use of account information for the benefit of any third party
• Any use of data mining, robots, or similar data gathering and extraction tools

Acceptable Use Policy

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates any applicable federal, state, local, or international law or regulation
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site
• Impersonate or attempt to impersonate Icarus, an Icarus employee, another user, or any other person or entity
• Use any robot, spider, scraper, or other automated means to access the Site for any purpose without our express written permission
• Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Site, the server on which the Site is stored, or any server, computer, or database connected to the Site
• Attack the Site via a denial-of-service attack or a distributed denial-of-service attack
• Submit false or misleading information through the contact form
• Otherwise attempt to interfere with the proper working of the Site

Contact Form Submissions

When you submit information through our contact form, you agree to provide accurate, current, and complete information. You understand that:

• Your submission does not create a client relationship or any contractual obligation on our part
• Any information you submit is not confidential unless we have executed a separate non-disclosure agreement
• We will use your information in accordance with our Privacy Policy
• We reserve the right to respond or not respond to any inquiry at our sole discretion

Do not submit sensitive, confidential, or proprietary information through the contact form unless you have obtained appropriate legal protections.

Merchandise Purchases

Orders and Payment

Merchandise purchases through the Site are processed by Snipcart, a third-party e-commerce provider. By making a purchase, you also agree to Snipcart's terms of service. All prices are displayed in US dollars unless otherwise indicated and are subject to change without notice.

We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in product or pricing information, or problems identified by our fraud detection systems.

Shipping

Shipping times and costs will be displayed at checkout. We are not responsible for delays caused by shipping carriers or customs processing for international orders. Risk of loss and title for items pass to you upon delivery to the carrier.

Returns and Refunds

If you are not satisfied with your merchandise purchase, please contact us at hello@icarus.io within 30 days of delivery. We will work with you to resolve the issue, which may include exchange or refund at our discretion. Items must be returned in their original, unused condition. Custom or personalized items may not be eligible for return.

Third-Party Links and Services

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by Icarus. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that Icarus shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

Disclaimers

THE SITE AND ALL CONTENT, MATERIALS, INFORMATION, AND SERVICES PROVIDED ON THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE FULLEST EXTENT PERMITTED BY LAW, ICARUS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

ICARUS DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

THE INFORMATION PRESENTED ON THE SITE IS FOR GENERAL INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE PROFESSIONAL ADVICE. YOU SHOULD CONSULT WITH APPROPRIATE PROFESSIONALS BEFORE MAKING DECISIONS BASED ON INFORMATION FROM THE SITE.

Limitation of Liability

• ANY CONTENT OBTAINED FROM THE SITE

IN NO EVENT SHALL ICARUS'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ICARUS, IF ANY, FOR ACCESS TO THE SITE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, ICARUS'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Indemnification

You agree to defend, indemnify, and hold harmless Icarus, Inc., its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Site, including but not limited to any use of the Site's content, services, and products other than as expressly authorized in these Terms.

Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law principles.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Site shall be instituted exclusively in the federal courts of the United States or the courts of the State of Washington, in each case located in Spokane County. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Dispute Resolution

Before initiating any legal action, you agree to first contact us at hello@icarus.io to attempt to resolve any dispute informally. We will make good faith efforts to resolve any dispute within 30 days of receiving your notice.

If we are unable to resolve a dispute informally, either party may pursue formal legal remedies in accordance with the Governing Law and Jurisdiction section above.

Modifications to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes to these Terms, we will update the "Last Updated" date at the top of this page.

Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page periodically so you are aware of any changes, as they are binding on you.

Termination

We may terminate or suspend your access to the Site immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use the Site will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive termination, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Site, constitute the entire agreement between you and Icarus, Inc. regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.

Waiver

No waiver by Icarus of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of Icarus to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
